I recently started a small LLC offering specialized IT consulting, and I'm drafting my first master services agreement to use with clients. I understand the basics of contract law for small businesses, but I'm struggling with specific clauses to protect myself, like defining the scope of work precisely to avoid endless revisions, setting clear payment terms for milestones, and limiting liability in a way that's enforceable. For other solo entrepreneurs or small business owners, what are the most critical provisions you've learned to include (or avoid) through experience? Did you use a template from a reputable source and then have a lawyer review it, or was it more cost-effective to have one drafted from scratch? I'm also unsure about jurisdiction and arbitration clauses for clients who may be in different states.
