I’m trying to figure out if I made a huge mistake by not having a formal partnership agreement when I started this business with my friend years ago. Everything was fine until recently, when we started disagreeing on how to split the profits from a new project. Now there’s this uncomfortable tension, and I’m realizing we never even discussed what happens if one of us wants out. Has anyone else navigated something like this after the fact?
I hear you and that hits hard. a partnership agreement would have kept the profits talk cleaner and spared some of this hurt. if you could map a fair split for the new project would you try a simple written plan first?
Profit splits are not just math they mirror trust. start with a one page partnership agreement that states how new projects are valued who covers costs and how a buyout would work. this can be less scary than a full contract.
Maybe your friend is not against a fair split they just assumed the value would land differently. a retro partnership agreement could test that assumption and save your patience later.
I am skeptical about needing a legal frame after years of friendship. still, a light weight partnership agreement can map expectations without making the other seem wrong.
Is the framing the issue here money or shared purpose? a partnership agreement could be used to align how you work together not just how you split profits.
Take a neutral outside view and value the project cleanly. write a simple memo about profits and responsibilities and use that as a springboard toward a formal partnership agreement later.
Honestly I would slow down and test your tolerance for tough talks. a partnership agreement could map out how to handle one wants out without blowing up the friendship.
